How can I sell my TNU PLC shares? |
| |
2.1 |
Following delisting from the London Stock Exchange in 2007, TNU Units (each comprising one share in TNU SA and one share in TNU PLC) could only be traded in Paris on the Compartment for Securities Delisted from Regulated Markets (CVRMR). Alternatively, they could be bought and sold privately both in France and in the UK if a shareholder was able to find a purchaser. |
| |
2.2 |
Following the de-stapling of TNU Units and the merger of TNU SA into Groupe Eurotunnel SA in 2009, TNU PLC shares can only be traded on the CVRMR in Paris or privately in the same way. |
| |
2.3 |
Only TNU PLC shares held in dematerialised form can be traded on the CVRMR.
|
| 3. |
What do I do if I hold shares in registered form in the UK (represented by (a) share certificate(s))? |
| |
3.1 |
Shares held in UK registered form must first be converted to dematerialised form and held on the TNU PLC sub-register maintained by BNP Paribas Securities Services in France. |
| |
3.2 |
This is done by completing a conversion form available from Computershare Investor Services PLC and returning it to them duly completed together with the share certificates relating to all the shares to be converted and payment for the administrative costs. |
| |
3.3 |
The administrative costs to be paid by the shareholder to Computershare Investor Services PLC are currently £10. (No rebate or exception will be made in relation to this cost.) |
| |
3.4 |
WARNING: Holders are reminded that such cost may exceed the expected proceeds from the sale of the shares. |
| |
3.5 |
Conversion of TNU PLC shares constitutes a transfer of the shares under the Terms and Conditions of the TNU PLC Travel Privileges Schemes and therefore result in the loss of any such travel privileges whether or not the shares are later sold on the CVRMR or privately.
|
| 4. |
How do I go about selling my shares on the CVRMR? |
| |
4.1 |
For shareholders holding their shares in registered form on the register maintained by BNP Paribas Securities Services (including following a conversion from UK registered form referred to at 3. above), BNP Paribas Securities Services offers brokerage services on payment by the shareholder of the following costs (no rebate or exception will be made in relation to these costs): |
| |
|
- Minimum charge of €13.72 + VAT
|
| |
|
- Preferential brokerage fee (levied by broker): 0.45% (exc. Taxes) of the gross amount of the trade (minimum €6.10) +VAT
- Banking charges@ €7.62 Excl taxes + VAT.
|
| |
4.2 |
For shareholders holding their shares in bearer form or through a nominee, the services of a broker able to trade on that market will be required. Eurotunnel is unable to recommend any broker. Shareholders are responsible for their choice of broker and the costs associated with the sale will vary depending on the broker chosen. These costs will be borne by the shareholder. |
| |
4.3 |
WARNING: Holders are reminded that the costs of selling the shares may exceed the expected proceeds from the sale. |
| |
4.4 |
The sale of TNU PLC shares leads to the loss of any TNU travel privileges associated with holding such shares. |
